General Terms and Conditions of Sale (GTCS) of Mon Ambassadeur
Article 1 : Purpose
These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between TOGETHER FALCONE LIMITED, trading as MON AMBASSADEUR, located at 1 THE WORKS INCHICORE TERRACE SOUTH INCHICORE DUBLIN 8 / D08W0X6, registered with the Dublin Companies Registration Office under VAT number IE4127761VH, and any individual or legal entity wishing to benefit from the services offered by the company, hereinafter referred to as "the Client".
These GTCS specify the rights and obligations of the parties in the context of providing virtual, administrative, commercial, and digital assistance services.
Article 2 : Services Proposés
Mon Ambassadeur SARL offers the following services, including but not limited to:
- Administrative services
- Commercial services
- Digital services
- Operations and customer support
The specific details of the services, their nature, and scope are defined in the quotes issued to the Client.
Article 3: Order
Any order is subject to a detailed and free quote, valid for 15 days from its issuance date. The order is considered accepted when:
- The quote is signed by the Client with the mention "Approved".
- A 30% deposit is paid in accordance with the terms provided in Article 4.The validation of the quote implies acceptance of these GTCS.
Article 4: Pricing and Payment Terms
- Pricing: Prices are quoted in euros (€), excluding taxes (HT), unless otherwise stated.
- Payment Methods: Payments are to be made exclusively by bank transfer.
- Price Adjustment: Prices may be adjusted based on the Client's specific needs or changes in the scope of services.Any late payment will result in the application of late fees calculated at the current legal rate, as well as a fixed indemnity for recovery costs of €40, in accordance with Article L.441-10 of the French Commercial Code.
Article 5 : Execution Deadlines
Execution deadlines are agreed upon when the quote is validated.
- The Service Provider commits to adhering to these deadlines, except in cases of force majeure or delays attributable to the Client (e.g., failure to provide necessary documents).
- Any delay caused by the Client may result in adjustments to the initially planned deadlines.
Article 6 : Service Provider's Obligations
Mon Ambassadeur commits to:
- Providing services in accordance with industry standards and the specifications agreed upon with the Client.
- Implementing all necessary means to ensure the quality of services, without guaranteeing an absolute result, especially in cases where modifications are requested by the Client during execution.
Article 7 : Client Obligations
The Client agrees to:
- Provide all necessary information and documents for the proper execution of the services within the specified timeframes.
- Actively collaborate with the Service Provider and ensure access to the resources or tools required for the performance of the services.
Any delay or failure by the Client to fulfill their obligations may result in adjustments to timelines or pricing.
Article 8 : Confidentiality
The Service Provider and the Client agree to keep confidential all information exchanged in the course of performing the services.
This obligation continues after the end of the contract, except in cases where disclosure is legally required.
Article 9 : Intellectual Property
- Deliverables (reports, studies, digital documents, etc.) remain the exclusive property of the Service Provider until full payment of the amounts due.
- Upon payment, the rights to use the deliverables are transferred to the Client in accordance with the conditions specified in the quote.
- Any unauthorized reproduction or distribution of the deliverables is prohibited.
Article 10 : Liability
- The Service Provider is responsible for the quality of the services provided but disclaims any liability in case of misuse of deliverables or information by the Client.
- In no event shall the Service Provider be held liable for indirect, intangible, or consequential damages resulting from the use of the services.
Article 11 : Termination
- In the event of a serious breach by either party, the contract may be terminated automatically after a formal notice remains unaddressed for 30 days.
- If the Client terminates the contract before the completion of services, payments already made shall remain with the Service Provider.
Article 12 : Governing Law and Jurisdiction
These GTCS are governed by French law.
In the event of a dispute, exclusive jurisdiction is granted to the competent courts within the jurisdiction of Mon Ambassadeur SARL's registered office, after an attempt at amicable resolution.
Article 13 : Personal Data Protection
In accordance with the GDPR and the French Data Protection Act, the Client has the right to access, rectify, and delete their personal data.
The collected data is used solely for the execution of services and is not shared with third parties without consent.
Article 14 : Force Majeure
Neither party shall be held liable for a breach of its contractual obligations in the event of force majeure, including natural disasters, social conflicts, or any event beyond the parties' control.
Article 15 : Modification of the GTCS
The Service Provider reserves the right to modify these GTCS. The new conditions will apply to orders placed after their publication on the website www.monambassadeur.com
Article 16 : Claims and Mediation
- In the event of a dispute, the Client is invited to contact Mon Ambassadeur SARL's customer service.
- In the absence of an amicable solution, the Client may refer the matter to a consumer mediator.
Article 17 : Partial Invalidity
If any provision of these General Terms and Conditions of Sale (GTCS) is declared invalid, the remaining provisions shall remain fully enforceable.
Article 18 : Final Provisions
These GTCS constitute the entire agreement between the parties. Any modification will only be valid in the form of an addendum signed by both parties.
